TERMS OF USE
Last Updated: October 20, 2026
1. Introduction and Acceptance of Terms
Welcome to Recirc Wellness.
These Terms of Use (“Terms”) govern your access to and use of https://recircwellness.com, our mobile applications, if available, and any related websites, features, tools, booking functionality, and services that we provide (collectively, the “Site” or “Services”).
The Services are operated by Recirc Wellness LLC (“Recirc Wellness,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, joining a waitlist, making a booking, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you do not agree, you must not access or use the Services.
These Terms apply to individuals who discover or book wellness services through our platform (“Users”) and to studios, gyms, instructors, practitioners, and other businesses that list, provide, or facilitate services through our platform (“Partners”), as applicable.
Certain Services or Partner relationships may be subject to additional terms, policies, agreements, or booking conditions. Those additional terms will apply to the relevant Service or relationship. If an additional agreement conflicts with these Terms, the additional agreement will control only to the extent of the conflict and only for the subject matter it expressly governs.
IMPORTANT NOTICE REGARDING DISPUTES: THESE TERMS CONTAIN AN INFORMAL DISPUTE RESOLUTION REQUIREMENT, A BINDING ARBITRATION AGREEMENT, AND A WAIVER OF CLASS, COLLECTIVE, AND REPRESENTATIVE ACTIONS AND NON-INDIVIDUALIZED RELIEF, TO THE EXTENT PERMITTED BY APPLICABLE LAW. PLEASE READ SECTION 17 CAREFULLY.
2. Eligibility
Our Services are intended for individuals who are at least 18 years old. By using the Services, you represent that you are at least 18 years old and legally capable of entering into a binding agreement.
If you access the Services on behalf of a Partner or other organization, you represent that you are authorized to bind that organization to any applicable terms or agreements.
We may refuse, suspend, or restrict access to the Services where reasonably necessary to protect our platform, Users, Partners, or other individuals, or to comply with applicable law.
3. Description of the Services
Recirc Wellness operates a platform designed to connect Users with fitness, wellness, movement, recovery, and other services offered by independent studios, gyms, instructors, practitioners, and other Partners.
Our Services may include:
- Discovery and search features that help Users find relevant wellness services.
- Information about Partners, classes, appointments, schedules, and availability.
- Booking functionality and integrations with Partner booking systems.
- Tools that help Partners connect their offerings and booking systems with our platform.
- Personalization and recommendations, including features supported by artificial intelligence or automated systems.
- Other features and services that we may introduce from time to time.
We may modify, improve, suspend, or discontinue features of the Services, subject to applicable law and any separate contractual commitments.
Information about a Partner, class, appointment, or other offering is provided to help Users make informed choices. Availability, pricing, schedules, descriptions, and other details may be supplied or maintained by Partners and may change.
We do not guarantee that any particular Partner, service, class, appointment, or feature will always be available.
4. Recirc Wellness's Role as a Platform
Recirc Wellness facilitates discovery and connections between Users and Partners. Unless expressly stated otherwise for a particular transaction, the Partner is responsible for delivering the class, appointment, session, or other service that the User books.
Partners are independent businesses or service providers and are not automatically employees, agents, joint venturers, or representatives of Recirc Wellness merely because they use our platform.
Unless expressly agreed otherwise, Recirc Wellness does not itself provide the services offered by Partners and does not control every aspect of their operations, facilities, qualifications, schedules, or service delivery.
Partners are responsible for ensuring that their offerings are accurately described and that their services are provided in accordance with applicable law and their obligations to Users.
Users are responsible for reviewing the information provided about a Partner and the relevant service before making a booking.
Nothing in these Terms excludes any obligation or liability that Recirc Wellness has under applicable law or an express agreement.
5. User Accounts, Waitlists, and Information
Certain features may require you to create an account, submit information, or join a waitlist.
You agree to provide accurate, current, and complete information and to update it when necessary. You are responsible for maintaining the confidentiality of your account credentials and for notifying us of suspected unauthorized access.
Joining a waitlist does not guarantee acceptance, priority access, availability, a reservation, or a right to purchase a particular service.
We may communicate with you regarding waitlist status, account administration, bookings, transactions, security, and other matters relating to the Services.
You may not create an account using another person's identity without authorization or use the Services to misrepresent your identity, qualifications, or affiliation.
6. Partner Responsibilities
Partners using the Services are responsible for the accuracy and completeness of their listings and for the services they offer through the platform.
Without limiting any separate Partner agreement, Partners are responsible for:
- Providing accurate descriptions, pricing, schedules, availability, and material service information.
- Maintaining appropriate qualifications, permits, insurance, and authorizations where required.
- Delivering services in a professional and lawful manner.
- Communicating applicable booking, cancellation, refund, attendance, late-arrival, and no-show policies to Users before booking confirmation.
- Honoring confirmed bookings or appropriately communicating cancellations and material changes.
- Handling User information in accordance with applicable privacy laws and their own disclosed privacy practices.
- Maintaining the security and proper functioning of any booking integrations they connect to the Services.
- Complying with applicable consumer protection, accessibility, health, safety, and other legal requirements.
Partners must not submit misleading listings, manipulate availability, misuse User information, or engage in fraudulent or deceptive conduct through the platform.
Additional Partner fees, platform charges, payment obligations, integration requirements, and commercial terms may be governed by a separate Partner agreement or other terms disclosed to the Partner.
7. Bookings, Transactions, and Platform Fees
The Services may enable Users to discover and book classes, appointments, sessions, or other offerings provided by Partners.
When you make a booking, you are responsible for reviewing the booking details, including the applicable Partner, service, date, time, price, attendance requirements, and cancellation policy.
A booking is subject to the confirmation and processing procedures displayed through the Services or the relevant Partner's booking system.
Recirc Wellness may integrate with third-party booking systems or payment processors to facilitate bookings and related transactions. The information available to Recirc Wellness and the steps required to confirm a booking may depend on the relevant integration.
Where applicable, platform fees or other charges will be disclosed to the party responsible for paying them. Partner fees and commercial arrangements may be governed by separate agreements.
Where Recirc Wellness charges a Partner a booking fee, the amount, calculation, triggering event, and applicable treatment of canceled, duplicated, refunded, or otherwise adjusted bookings will be determined by the applicable Partner agreement or fee terms.
No provision of these Terms authorizes a charge that was not properly disclosed or otherwise permitted by applicable law.
8. Refunds, Cancellations, Rescheduling, and No-Shows
8.1 General Refund Policy
Payments made by you to Recirc Wellness LLC under these Terms are final and non-refundable, unless otherwise determined by Recirc Wellness in its discretion or as otherwise required by applicable law.
Where a transaction involves a Partner, including a fitness studio, gym, instructor, practitioner, or other wellness service provider, the cancellation, rescheduling, refund, late-arrival, and no-show policies applicable to the Partner's services may be separate from Recirc Wellness's policies.
You are responsible for reviewing the applicable Partner policies and any booking-specific terms presented to you before completing a booking.
Recirc Wellness does not guarantee that a Partner will approve a cancellation, rescheduling request, credit, or refund. Refunds or adjustments relating to services provided directly by a Partner are subject to the applicable Partner's policies, the terms presented at the time of booking, and applicable law.
Nothing in this section limits any refund, cancellation, or other consumer right that cannot lawfully be excluded or waived.
8.2 Cancellations and Rescheduling
Cancellation and rescheduling requests must be submitted in accordance with the instructions and deadlines communicated by Recirc Wellness or the applicable Partner.
A cancellation or rescheduling request does not guarantee a refund, credit, or alternative booking.
If you cancel after the applicable cancellation deadline, you may be ineligible for a refund or credit or may be charged a cancellation fee, provided that the fee and applicable conditions were properly disclosed and are permitted by law.
Where a booking is managed through a Partner's own booking system, you may need to submit your request directly to that Partner or follow the instructions provided during booking.
8.3 No-Shows and Late Arrivals
If you fail to attend a booked class, appointment, session, or other service without canceling within the applicable cancellation period, you may be treated as a “no-show” under the relevant Partner policy.
If you arrive after the scheduled start time, the Partner may refuse entry, shorten the session, or treat the booking as a no-show if permitted by its disclosed policies and applicable law.
Where a Partner's disclosed policy provides for forfeiture of a booking fee, prepaid amount, deposit, or other charge in the event of a no-show or late cancellation, that policy may apply to your booking.
You may not be entitled to a refund, credit, or rescheduling opportunity for a no-show or late arrival, except where required by applicable law or otherwise determined by Recirc Wellness or the applicable Partner.
You are responsible for allowing sufficient time to arrive at your booking and for following the Partner's attendance, check-in, and arrival instructions.
8.4 Partner Cancellations and Service Changes
If a Partner cancels a service, fails to provide the booked service, or materially changes a booking, any refund, credit, rescheduling option, or alternative arrangement will be handled in accordance with the applicable booking terms, the relevant Partner policy, and applicable law.
Recirc Wellness does not guarantee that an alternative appointment or service will be available.
8.5 Payment Processing and Refund Assistance
If Recirc Wellness processes a payment or refund on behalf of a Partner, the processing of that transaction does not necessarily mean that Recirc Wellness determines or guarantees the Partner's refund decision.
If you believe a cancellation, no-show designation, charge, or refund decision was made in error, please contact the applicable Partner or email support@recircwellness.com for assistance.
9. Wellness and Health Disclaimer
The Services may provide information about fitness, wellness, movement, recovery, and related offerings.
Unless expressly stated otherwise in a separate written agreement, information available through the Services is provided for general informational purposes and is not a substitute for professional medical advice, diagnosis, or treatment.
Recirc Wellness does not represent that any particular service or activity is appropriate for every individual or that participation will produce a specific health, fitness, wellness, or other result.
You should consult an appropriately qualified professional before beginning an activity or program if you have concerns about your ability to participate safely.
You are responsible for evaluating whether a service is appropriate for you and for following relevant safety instructions and participation requirements.
Services provided by Partners may involve physical exertion or other risks. You should review relevant disclosures and raise questions with the Partner before participating.
Nothing in this section excludes liability or limits rights where such exclusion or limitation is prohibited by applicable law.
10. Artificial Intelligence and Recommendations
Recirc Wellness may use artificial intelligence, automated systems, algorithms, or other technologies to support discovery, search, personalization, ranking, or recommendations.
These features are intended to help Users identify services that may be relevant to their interests and preferences. Recommendations may be based on information available through the platform, User interactions, search criteria, and other relevant signals.
Recommendations are informational and may not reflect every available option or guarantee the suitability, quality, availability, or outcome of a service.
You should independently review the relevant Partner, service description, pricing, availability, and policies before making a booking.
We may modify or improve automated features over time, subject to applicable law and any additional disclosures or consents required for particular processing activities.
11. Privacy and Personal Information
Your use of the Services is subject to the Recirc Wellness Privacy Policy, last updated October 19, 2026, available at the Privacy Policy page published on our website.
The Privacy Policy describes how Recirc Wellness collects, uses, discloses, retains, and otherwise processes personal information in connection with the Site and Services, including information relating to accounts, waitlists, discovery, bookings, transactions, Partners, and communications.
Where consent is required by applicable law for a particular processing activity, Recirc Wellness will obtain that consent separately as required.
Partners may independently collect and process personal information under their own privacy policies. You should review the applicable Partner's privacy policy when interacting with that Partner.
For privacy inquiries or requests to exercise applicable privacy rights, contact privacy@recircwellness.com.
Nothing in these Terms limits any privacy right or protection that cannot lawfully be waived.
12. Acceptable Use
You agree to use the Services lawfully and responsibly.
You must not:
- Use the Services for unlawful, fraudulent, deceptive, harassing, or harmful purposes.
- Impersonate another person or misrepresent your identity, qualifications, or authority.
- Interfere with the security, integrity, or operation of the Services.
- Attempt to access accounts, systems, or data without authorization.
- Introduce malware, malicious code, or other harmful technology.
- Scrape, harvest, or systematically collect information through automated means except where expressly authorized or permitted by law.
- Copy, reproduce, distribute, sell, or commercially exploit the Services or their content without authorization.
- Circumvent security measures, usage restrictions, or access controls.
- Use the Services to transmit spam, fraudulent listings, or unauthorized promotions.
- Infringe the intellectual property, privacy, publicity, or other rights of Recirc Wellness, Users, Partners, or third parties.
- Manipulate bookings, availability, reviews, or transactions through deceptive or abusive practices.
We may investigate suspected violations and take reasonable action, including removing content, restricting access, suspending accounts, or terminating access, subject to applicable law.
13. Intellectual Property
The Services and their contents, including text, graphics, photographs, videos, logos, designs, software, branding, layouts, and other materials, are owned by or licensed to Recirc Wellness and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Recirc Wellness grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Services for your personal, lawful, noncommercial purposes, unless expressly authorized otherwise in writing.
You may not reproduce, modify, distribute, publicly display, create derivative works from, reverse engineer, sell, or commercially exploit the Services except as permitted by applicable law or expressly authorized by Recirc Wellness.
All rights not expressly granted are reserved by Recirc Wellness and its licensors.
If you submit feedback or suggestions, you grant Recirc Wellness permission to use that feedback to improve its Services without compensation, provided that this does not transfer ownership of your intellectual property or override any rights that cannot lawfully be waived.
14. Third-Party Services and Links
The Services may link to or integrate with third-party websites, booking systems, payment processors, applications, venues, or other service providers.
Third-party services may be governed by separate terms and privacy policies. You are responsible for reviewing those terms before using the relevant services.
Recirc Wellness does not control all aspects of third-party services and is not responsible for their independent policies or operations, except to the extent responsibility arises under applicable law or an express agreement.
A link, listing, integration, or referral does not necessarily constitute an endorsement or guarantee of a third party.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
RECIRC WELLNESS DISCLAIMS WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
We do not warrant that the Services will always be available, uninterrupted, secure, error-free, accurate, complete, or compatible with every device or system.
We do not guarantee the availability, quality, suitability, or outcome of any service offered by a Partner.
Nothing in this section excludes any warranty or protection that cannot lawfully be disclaimed.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECIRC WELLNESS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF RECIRC WELLNESS FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO RECIRC WELLNESS FOR THE RELEVANT SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
These limitations apply regardless of the legal theory under which a claim is brought, subject to applicable law.
Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence, death or personal injury where such limitation is prohibited by law, or any other liability that cannot lawfully be limited or excluded.
Nothing in these Terms limits your nonwaivable statutory rights.
17. INFORMAL DISPUTE RESOLUTION, BINDING ARBITRATION, AND WAIVER OF CLASS AND REPRESENTATIVE ACTIONS
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A CLAIM IN COURT, TO HAVE A JURY DECIDE A DISPUTE, AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
17.1 Informal Resolution Requirement
Before initiating arbitration, the party asserting a dispute must first provide written notice and a reasonable opportunity to resolve it informally.
You must send your notice to:
Email: legal@recircwellness.com
Subject: Notice of Dispute — Informal Resolution
Your notice must include your full name, relevant account or transaction information, a description of the dispute, the relief requested, and your signature or electronic confirmation that the notice is submitted by you.
If Recirc Wellness initiates a dispute against you, we will send notice to the email address or other contact information reasonably associated with your account or transaction.
The parties will attempt in good faith to resolve the dispute for at least 60 days after the receiving party receives a complete notice, unless they mutually agree to extend that period.
Either party may request an individual telephone or video conference to discuss resolution. If requested by either party, the other party will participate through a representative with settlement authority, where reasonably available and permitted by law.
Neither party may initiate arbitration before completing this informal process, except where necessary to preserve a legal right, prevent imminent harm, meet a nonextendable deadline, or comply with applicable law.
Applicable limitation periods and filing deadlines will be treated in accordance with applicable law. Nothing in this section is intended to extinguish a claim solely because the informal process takes time.
17.2 Agreement to Binding Individual Arbitration
Except for disputes expressly excluded below and to the extent permitted by applicable law, you and Recirc Wellness agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your relationship with Recirc Wellness, or any transaction or interaction between you and Recirc Wellness will be resolved through binding individual arbitration if it cannot be resolved informally.
This agreement applies to claims arising under contract, statute, regulation, tort, fraud, misrepresentation, or other legal theories, to the extent legally permissible.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules in effect when the arbitration is filed, as modified by this section to the extent permitted by law.
The arbitration will be conducted by a neutral arbitrator. Unless the parties agree otherwise or applicable law requires otherwise, proceedings will take place remotely by video or telephone or through written submissions. If an in-person hearing is necessary, it will occur at a location reasonably convenient to the consumer, subject to the applicable rules and law.
The arbitrator may award individual relief available under applicable law, including monetary damages, declaratory relief, and injunctive relief benefiting the individual claimant.
The arbitrator will issue a reasoned written decision upon request or as otherwise required by the applicable rules or law.
The arbitrator will decide disputes concerning the interpretation or application of this arbitration agreement, including its scope and enforceability, except for issues that applicable law reserves for judicial determination.
17.3 Arbitration Fees and Costs
Arbitration fees and costs will be allocated in accordance with the AAA Consumer Arbitration Rules and applicable law.
You will not be required to pay fees or costs that applicable law requires Recirc Wellness or the arbitration administrator to pay or waive.
Recirc Wellness will not seek to recover its attorneys' fees or arbitration costs from you solely because you do not prevail, except where expressly authorized by applicable law and the applicable arbitration rules.
If the AAA is unavailable or unwilling to administer the dispute, the parties will attempt in good faith to agree on a suitable alternative administrator. If they cannot agree, a court with appropriate jurisdiction may appoint an arbitrator or resolve the issue in accordance with applicable law.
17.4 Prohibition of Class and Representative Actions and Non-Individualized Relief
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RECIRC WELLNESS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS OR PRESIDE OVER ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, EXCEPT TO THE EXTENT SUCH A RESTRICTION IS PROHIBITED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM. THE ARBITRATOR MAY NOT AWARD RELIEF FOR OR AGAINST PERSONS WHO ARE NOT PARTIES TO THE ARBITRATION, AND MAY NOT GRANT CLASS-WIDE, COLLECTIVE, OR OTHER NON-INDIVIDUALIZED RELIEF.
You and Recirc Wellness waive the right to participate in a class, collective, or representative action against the other to the extent permitted by law.
This waiver does not prohibit participation in a class-wide settlement where permitted by law or the exercise of any right that cannot lawfully be waived.
If a court of competent jurisdiction determines that a particular claim or request for relief cannot lawfully be subject to this waiver or arbitration, that claim or request will be severed and heard in a court of competent jurisdiction to the extent required by law. Remaining arbitrable claims will proceed individually to the extent legally permissible.
Any dispute about whether this class or representative action waiver is enforceable will be decided by a court where required by applicable law.
17.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may:
- Bring an eligible individual claim in small claims court.
- Seek temporary or preliminary injunctive relief from a court where necessary to preserve the status quo or protect rights pending arbitration, where legally permitted.
- Bring a claim or seek a remedy that applicable law expressly excludes from mandatory arbitration.
- Report concerns to or participate in an investigation conducted by a government agency or regulatory authority, as permitted by law.
These exceptions do not otherwise waive the agreement to arbitrate disputes that remain subject to arbitration.
17.6 Thirty-Day Right to Opt Out
You may opt out of the arbitration agreement in this Section 17 by sending a written opt-out notice within 30 days after you first become bound by these Terms.
Your notice must include your full name, the email address associated with your use of the Services, if applicable, and a clear statement that you wish to opt out of the arbitration agreement.
Send your notice to:
Email: legal@recircwellness.com
Subject: Arbitration Opt-Out Notice
A timely opt-out will apply to the arbitration agreement in this section. Your decision to opt out will not adversely affect your access to the Services or your ability to use them.
If you opt out of arbitration, disputes will be resolved in court in accordance with Section 18 and applicable law, subject to any separately enforceable agreement and any rights or obligations that cannot lawfully be waived.
17.7 Governing Law for Arbitration and Severability
The arbitration agreement will be governed by the Federal Arbitration Act to the extent applicable. If the FAA does not apply, the applicable arbitration law will be determined in accordance with governing law and applicable legal requirements.
If any part of this arbitration agreement is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law, subject to the specific severability provisions in Section 17.4.
If the prohibition on class, collective, or representative arbitration is held unenforceable with respect to a particular claim, that claim will proceed in court to the extent required by law, and any remaining enforceable individual claims will be subject to arbitration.
This Section 17 survives termination of your account or use of the Services to the extent permitted by law.
18. Governing Law and General Provisions
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to Section 17 and applicable law, courts located in California will have jurisdiction over matters properly brought before a court, including proceedings to enforce an arbitration award or matters excluded from arbitration.
If any provision of these Terms is found unlawful, invalid, or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect, subject to the specific rules in Section 17 governing arbitration and class or representative action waivers.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign these Terms without our prior written consent, except where assignment is permitted by law. Recirc Wellness may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or similar business transaction, subject to applicable law.
These Terms, together with any additional terms expressly incorporated into them, constitute the agreement between you and Recirc Wellness concerning the Services and supersede prior agreements on the same subject matter, except for any separate agreement that expressly governs the relevant service or transaction.
We will not be responsible for delay or failure to perform to the extent caused by circumstances beyond our reasonable control, subject to applicable law.
19. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, business practices, legal obligations, or operational requirements.
We will post revised Terms on our website and update the “Last Updated” date. Where required by law, we will provide additional notice or obtain renewed consent before material changes take effect.
Unless a different effective date is specified, revised Terms will apply prospectively from the date they become effective, subject to applicable law. Changes to the arbitration agreement will not apply retroactively to disputes where doing so would be unlawful or otherwise unenforceable.
Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms only to the extent permitted by applicable law. If you do not agree to revised Terms, you must discontinue the affected use of the Services.
20. Copyright and Intellectual Property Complaints
We respect intellectual property rights and expect users of the Services to do the same.
If you believe that material available through the Services infringes your copyright, contact copyright@recircwellness.com with the following information:
- Identification of the copyrighted work you believe has been infringed.
- Identification and location of the allegedly infringing material, including a URL where available.
- Your name and contact information.
- A statement explaining your good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- Any declarations required by applicable law and your physical or electronic signature.
If Recirc Wellness qualifies as a service provider under the U.S. Digital Millennium Copyright Act, notices seeking DMCA takedown procedures should be directed to our designated DMCA agent at the address published on our website or in our applicable copyright policy.
The email address above is a contact point and is not, by itself, a representation that Recirc Wellness has completed any required DMCA agent designation.
We may remove or restrict access to disputed material and take appropriate action against repeat infringement in accordance with applicable law.
21. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate access to all or part of the Services if we reasonably believe that you have materially violated these Terms, your use creates a security or legal risk, or suspension is otherwise reasonably necessary to protect Users, Partners, or the Services.
Where appropriate and legally required, we will provide notice and an opportunity to address the issue before termination.
Termination does not eliminate payment obligations that accrued before termination or rights and remedies that arose before termination. Provisions that by their nature should survive termination, including intellectual property provisions, disclaimers, liability limitations, and dispute resolution provisions, will survive to the extent permitted by law.
